  • The payments once made will not be refunded/adjusted/transferred under any circumstances.
  • Any such claims as identified above (clause 17 b) will be processed/decided/rendered by Softist Services only, at its own discretion. No appeals will be entertained in such cases and the decision will be considered final.
  • The used indemnifies Softist Services from any such claims of monetary loss due to wrong transaction(s) or any other reason.

18. Terms & Conditions for Services

Softist Services through its website and via other media (including but not limited to calls, chats, text messages, books, youtube channel/videos, social media platforms, or online video consultation) provides Consulting/Advisory/ Solutions to it’s client’s/customer’s IT & Product Delivery problems as per the list of services attached in the Annexure A.

The User/Customer/Client understands & agrees to indemnify Softist Services & www.softistservices.com & its directors/staff/employees/agents against any claims whatsoever arising out of the Services/Solutions provided to the User/Customer/Client.

The User/Customer/Client understands & agrees to the following terms & conditions under which the Services/Solutions is provided by Softist Services & its staff/directors/agents/employees.

  • Softist Services & www.softistservices.com neither proposes nor commits any guarantee/warranty/promise for the success or failure or no-result or adverse result of services including their sub-heads & sub categories mentioned on the attached Annexure A.
  • Softist Services & www.softistservices.com will not be held responsible (in any way) for any adverse happening including (but not limited to) the loss of money, property (movable or immovable), life, health or wellbeing of the User/Client/Customer/its business, its employees/agents/customers during or before or after the service sought by user/client/customer & provided by Softist Services & www.softistservices.com for the services outlined under products/solutions (including their sub-heads & sub categories) mentioned on the website and the attached Annexure A
  • Softist Services & www.softistservices.com will not be held responsible (in any way) for any wrongful information/duplication of data etc provided by the client/customer/user either intentionally or un-intentionally and thus any result (through offered services) or lack of it thereof.
  • Softist Services & www.softistservices.com will not be held responsible (in any way) for any wrongful transaction done by user/client/customer. Any such transaction and the equivalent amount will neither be refunded (in parts or complete) nor any claims be entertained.
  • Softist Services & www.softistservices.com will not be held responsible (in any way) for the quality/quantity of products/services provided by Softist Services & www.softistservices.com for the services outlined under products or solutions (including their sub-heads & sub categories) mentioned on the website and the attached Annexure A.
  • Softist Services will not be responsible for any loss of images or videos or data due to any issue at user’s end or at server end. Neither would the company be responsible for any loss of data due to any outage of internet or server etc..
  • Softist Services has the right to edit, stop or monitor the service/product to ensure the quality and compliance to legal framework.
  • Softist Services & www.softistservices.com will be under its rights to initiate any legal action/proceeding/suit against the user/client/customer who/which may indulge in inappropriate/illegal/unethical actions including (but not limited to) stalking/harassment/botheration/acts to defame/propagating false information or any material breach of the legal/privacy policy mentioned here or any terms which are implied & not explicitly mentioned here.

Our Service may contain links to other sites that are not operated by us. If you click a third-party link, you will be directed to that third party’s site. We strongly advise you to review the Privacy Policy of every site you visit.

We have no control over and assume no responsibility for the content, privacy policies or practices of any third-party sites or services.

Acceptable Use Policy

If you are using any Softist Services IT Service, this AUP applies to you. Every client of ours agrees to abide by this AUP and is responsible for any violations. You are not allowed to assist or engage others in a way that would violate this AUP. We will enforce and ensure compliance with this AUP by using methods we consider to be appropriate, such as a complaint, monitoring your usage of our service, monitoring emails failures etc.

We periodically update these terms and we will let you know when we do through notification within the Softist Services Platform used to access your subscription (if you have one), or by posting a revised copy on our website. You agree to review the AUP on a regular basis and always remain in compliance.

General Use and Ownership

  • Our proprietary information stored on electronic and computing devices whether owned or leased by Us, the employee, User or a third party, remains the sole property of the organization.
  • He/she/Business Entity/User must ensure through legal or technical means that proprietary information is protected in accordance with the Data Protection Standard.
  • User has a responsibility to promptly report the theft, loss or unauthorized disclosure of Our proprietary information.
  • User may access, use or share Our proprietary information only to the extent it is authorized and necessary to fulfill their assigned project.
  • We reserve the right to audit systems and networks on a periodic basis to ensure compliance with this policy.

Unacceptable Use

Under no circumstances is an user of Softist Services’ services is authorized to engage in any activity that is illegal under local, state, federal or international law while utilizing Our owned resources. The lists below are by no means exhaustive but attempt to provide a framework for activities which fall into the category of unacceptable use:

  • Violations of the rights of any person or company protected by copyright, trade secret, patent or other intellectual property, or similar laws or regulations, including, but not limited to, the installation or distribution of “pirated” or other software products that are not appropriately licensed for use.
  • Downloading or printing of a confidential or restricted data or a volume of one or more documents (called systematic downloading) is strictly prohibited.
  • Unauthorized copying of copyrighted material including, but not limited to, digitization and distribution of photographs from magazines, books or other copyrighted sources, copyrighted music, and the installation of any copyrighted software for which Softist Services or the end user does not have an active license is strictly prohibited.
  • Introduction of malicious programs into the network or server (e.g., viruses, worms, Trojan horses, e-mail bombs, etc.) is prohibited.

NO SPAM PERMITTED

You will not use the Softist Services Software & Service in any way (directly or indirectly) to send, transmit, handle, distribute or deliver:

  • unsolicited email (“spam” or “spamming”) in violation of the law;
  • email to an address obtained via Internet harvesting methods or any surreptitious methods (e.g., scraping or harvesting);
  • email to purchased, rented, or borrowed lists;
  • email to an address that is incomplete, inaccurate and/or not updated for all applicable opt-out notifications, using best efforts and best practices in the industry
  • email to lists that are likely to result in an excessive number of unsubscribe requests or SPAM complaints or notices, as determined by acceptable industry practices.

NO DISRUPTION

You agree not to use the Softist Services Services in a way that impacts the normal operation, privacy, integrity or security of another’s property.  Another’s property includes another’s account(s), domain name(s), URL(s), website(s), network(s), system(s), facilities, equipment, data, other information, or business operations.  You also agree not to use the Softist Services Service to gain unauthorized access to, use, monitor, make an unauthorized reference to, another’s property unless you have the appropriate express prior consent to do so.  Examples of prohibited actions include (without limitation): hacking, spoofing, denial of service, mailbombing and/or sending any email that contains or transmits any virus or propagating worm(s), or any malware, whether spyware, adware or other such file or program. These restrictions apply regardless of your intent and whether or not you act intentionally or unintentionally.

PROPER USE OF Softist Services SERVICES

You will respect the limits that apply to your use the Softist Services Service as specified in the NDA & MoU shared with customers.

In addition, and without limiting the other requirements in this AUP, you may not (directly or indirectly) use the Softist Services Service with content, or in a manner that:

  • is threatening, abusive, harassing, stalking, or defamatory;
  • is deceptive, false, misleading or fraudulent;
  • is invasive of another’s privacy or otherwise violates another’s legal rights (such as rights of privacy and publicity);
  • contains vulgar, obscene, indecent or unlawful material;
  • infringes a third party’s intellectual property right(s);
  • publishes, posts, uploads, or otherwise distributes any software, music, videos, or other material protected by intellectual property laws (or by rights of privacy or publicity) unless you have all necessary rights and consents to do so;
  • uploads files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another person’s computer;
  • downloads any file that you know, or reasonably should know, cannot be legally distributed in that way;
  • falsifies or deletes any author attributions, legal or proprietary designations, labels of the origin or source of software, or other material contained in a file that is uploaded;
  • restricts or inhibits any other user of the Softist Services Service from using and enjoying our website and/or the Softist Services Service;
  • harvests or otherwise collects information about others, including e-mail addresses, without their consent;
  • violates the usage standards or rules of an entity affected by your use, including without limitation any ISP, ESP, or news or user group (and including by way of example and not limitation circumventing or exceeding equipment use rights and restrictions and/or location and path identification detail);

You will use the Softist Services Service for your internal business purposes and will not: (i) willfully tamper with the security of the Softist Services Service or tamper with our customer accounts; (ii) access data on the Softist Services Service not intended for you; (iii) log into a server or account on the Softist Services Service that you are not authorized to access; (iv) attempt to probe, scan or test the vulnerability of any Softist Services Service or to breach the security or authentication measures without proper authorization; (v) willfully render any part of the Softist Services Service unusable; (vi) lease, distribute, license, sell or otherwise commercially exploit the Softist Services Service or make the Softist Services Service available to a third party other than as contemplated in your subscription to the Softist Services Service; (vii) use the Softist Services Service for timesharing or service bureau purposes or otherwise for the benefit of a third party; or (viii) provide to third parties any evaluation version of the Softist Services Service without our prior written consent.

COMPLIANCE WITH APPLICABLE LAWS

In addition, and without limiting the other requirements in this AUP, you may not (directly or indirectly) use the Softist Services Service with content, or in a manner that is in violation of any applicable local, state, national or international law or regulation, including all export laws and regulations and without limitation:

  • Controlling the Assault of Non-Solicited Pornography and Marketing Act (CAN-SPAM Act) (15 U.S.C. § 7701 et seq.),
  • S Telephone Consumer Protection Act of 1991 (47 U.S.C. § 227),
  • India’s regulations on Unsolicited Commercial Communicated implemented by Telecom Regulatory Authority of India (TRAI) – http://www.nccptrai.gov.in/nccpregistry/
  • Directive 2000/31/EC of the European Parliament and Council of 8 June 2000, on certain legal aspects of information society services, in particular, electronic commerce in the Internal Market (‘Directive on Electronic Commerce’), along with the Directive 2002/58/EC of the European Parliament and Council of 12 July 2002, concerning the processing of personal data and the protection of privacy in the electronic communications sector (‘Directive on Privacy and Electronic Communications’),
  • Personal Information Protection and Electronic Documents Act (PIPEDA) (S.C. 2000, c. 5),
  • Canada’s Anti-Spam Legislation (CASL) (S.C. 2010, c. 23)
  • Japan’s Act on Regulation of Transmission of Specified Electronic Mail (Act No. 26 of April 17, 2002)
  • any regulations having the force of law or laws in force in your or your email/SMS/phone call recipient’s country of residence.

GENERAL TERMS

If you breach any of this AUP we may immediately suspend your access to the Softist Services Service(s).  We may also terminate your and our subscription agreement for cause if you breach this AUP. You acknowledge we may disclose information regarding your use of any Softist Services Service to satisfy any law, regulation, government request, court order, subpoena or other legal processes.  If we make this type of required disclosure we will notify you, unless we are required to keep the disclosure confidential.

We are not obligated to but may choose to, remove any prohibited materials (from the project undertaken) and deny access to any person who violates this AUP. We further reserve all other rights.
